Our sales conditions are valid and deemed accepted by the buyer. All clauses to the contrary must be agreed to in writing. Acceptance of goods implies acceptance of above terms and conditions.
PRICES: Prices are in US Dollars Funds, duty and sales taxes excluded, F.O.B Z-SC1 Corp. All prices are current at time of catalogue publication and are subject to change without notice to reflect changes in currency exchanges rates or changes in our manufacturers’ pricing policies. When price changes occur, prices prevailing at the time order is received will apply. Whenever possible we will provide price protection for back orders. Current list prices can be obtained by contacting our customer service department.
TERMS OF PAYMENT: First Order and OEM products are to be paid in advance. Terms are « NET 30 DAYS » from date of billing with approved credit only. A service charge of 2% per month (24% per year) will be assessed on all outstanding balances exceeding 30 days. Deferred payment plans for capital equipment purchases of $ 2,000 or more, may be available, upon request.
FREIGHT: Freight terms are F.O.B. our warehouse. Unless otherwise specified all orders will be shipped via the « Best Way » as determined by Z-SC1 Corp. Requests for special shipping arrangements will be at customer’s expense where possible.
RETURN GOODS POLICY : All returns must be authorized by our customer service department. Goods ordered in error or duplicate shipments because of unmarked confirming orders will be subject to a 30% restocking charge or 500$ whichever is greater. Any returns due to our error will of course be replaced or credited in full. Requests for returns must include name and address, invoice number, invoice date, P.O number, quantity, catalogue number, description of item(s) and reason for the return. A return authorization number will be issued and shipping instruction will be given by customer service. Returns are not authorized for items not purchased from Z-SC1 Corp., items purchased on « Special Order » basis, expired or short dated products, any product for which special storage requirements have not been met., sealed chemicals, reagents and biological that have been opened, items that have been modified or improperly repaired and any merchandise past 30 days of invoicing.
SPECIFICATION CHANGES: Due to product improvements and design changes some items may differ slightly form specifications listed in the catalogue. Z-SC1 Corp. reserves the right to change product specifications, designs, quantities and prices without notice and without liability for such changes.
DAMAGED GOODS: Goods damaged in transit are the responsibility of the purchaser. The following is the procedure for handling damaged goods and freight claims: Inspect all shipments immediately upon receiving, any shipment damaged in transit requires an inspection from the delivery carrier, noticeable damage must be noted on the consignee copy of freight bill at the time of delivery, or the claim will be disallowed, concealed damages must be reported and a request for inspection made within 5 days of delivery, inspection damage report is mandatory for filling a claim, the merchandise must be retained in original packaging until inspection by carrier, contact the delivering carrier and request an inspection within 5 days of receipt of goods. Z-SC1 Corp. will provide assistance in the filling of claims if notified of losses or damages within 48 hours of receipt of shipment; however, we will not able to provide assistance if above procedures are not followed.
LIMITED WARRANTY: Z-SC1 Corp. warrants that, at the time of shipment, the products sold by it are free from defaults in material and workmanship and conform to specifications which accompany the products. Warranty will be limited to the replacement or repair without cost of any such material received with any such defaults within the normal warranty period of each product. Warranty periods may vary from 30 days to the three years dependent on product type. Z-SC1 Corp. makes no warranties expressed or implied, with respect to the products, including any warranty of suitability or fitness for any particular purpose. Notification of any breach of warranty must be made within 30 days of receipt or within shelf-life expiry date contained with each consumable product, whichever is shorter. Notification of any breach of warranty for instrumentation may be made within the normal warranty period of each particular instrument. No claim shall be honored if the customer fails to notify Z-SC1 Corp. within the periods specified.
RESERVATION OF OWNERSHIP CLAUSE: The vendor or his executor reserve the ownership of goods delivered by him until such time as all sums are paid in their entirety by the buyer for the delivered goods. This merchandise is presume to be the property of the vendor until such time all outstanding debts are paid by the buyer to the vendor. The vendor can cancel the sale and take back the totality of the merchandise being the object of the reservation of ownership if an invoice is past due and unpaid and this after a notice of payment is considered indispensable by the applicable laws of the present contract, as in the case of deterioration of the buyer’s credit. This clause does not exclude the eventual action in damages and interests of the vendor, destined to compensate the loss of profits or the prejudice he will have suffered.
LIABILITY LIMITATION: All products listed in the catalogue and those listed in suppliers catalogue represented by Z-SC1 Corp. are not intended for human consumption, medicinal or food use. They are offered strictly for laboratory or industrial application purposes only. Z-SC1 Corp. assumes no responsibility what so ever for their suitability or fitness for any particular purpose. Hazardous and dangerous goods are also included in above category. Those products are handled using special and necessary precautions in packaging, labelling and shipping according to Transport Canada governing regulations. Z-SC1 Corp. shall not be liable for any loss or damage whatsoever or howsoever caused involving the handling or use of these products, singly or in conjunction with others. The sole and exclusive remedy of the customer for any liability of Z-SC1 Corp. of any kind including liability based upon warranty (express or implied, whether contained herein or elsewhere), strict liability, contract or otherwise is limited to the replacement of the goods or the refund of the invoice price of the goods. Z-SC1 Corp. shall not in any case be liable for social, incidental or consequential damages of any kind
PLACE OF JURISDICTION: Z-SC1 Corp. and the client have elected the residence as the district of Montreal, province of Quebec where the sales documents have been put in concrete form. All judicial proceeding resulting from the understanding between all parties will be judged according to the laws of Quebec and/or of Canada and instituted in the district of Montreal, province of Quebec.
